Your Products"means product developed or to be developed by or for you that includes an Intel Component implementing or executing Material.
This SOFTWARE LICENSE AND CLOUD SERVICES AGREEMENT, including all appendices and exhibits (collectively, this “Agreement”) is entered into between Intel Corporation, a Delaware corporation (“Intel”) and You. If You intend to access the Cloud Services in addition to using the Software, the terms and conditions of Appendix B apply to Your access and use of the Cloud Services (as defined in Appendix B), in addition to the terms and conditions of this Agreement applicable to Your access and use of the Software. “You” refers to you or your employer or other entity for whose benefit you act, as applicable. If you are agreeing to the terms and conditions of this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the legal authority to bind that legal entity to the Agreement, in which case, "You" or "Your" shall be in reference to such entity. Intel and You are referred to herein individually as a “Party” or, together, as the “Parties”. Compliance with Laws. The Material is subject to, and You must comply with, applicable government laws and regulations, including without limitation U.S. and worldwide trade regulations prohibiting the export, import, or transfer Material to any prohibited or sanctioned country, person, or entity. You must not use Material for the development, design, manufacture, or production of nuclear, missile, chemical, or biological weapons. iii. Intel reasonably believes that Cloud Services provided to You have been accessed or manipulated by a third party without Your consent or in violation of this Agreement;NO OTHER LICENSES. Neither Party grants the other Party any license or rights (by implication, estoppel or otherwise) under intellectual property rights it owns, is licensed to, or controls before or after entering into this Agreement, except as expressly granted herein. e) Intel has no obligation to provide any support, technical assistance or updates for the Software. INDEMNITY. You will indemnify, defend, and hold Intel harmless from any allegation against Intel arising in connection with Your use of the Materials and You will pay all of Intel’s losses, liabilities, and costs (including attorneys’ fees) arising from the allegation.
Term. This Agreement begins upon Your acceptance of its terms and continues until terminated under Sections 3 or 10.2.
Max Memory Size (dependent on memory type)
Third-Party Software Your use of certain third-party software with or within the Material is subject to your compliance with licensing you obtain directly from that third-party. A listing of any such third-party software may accompany the Material. Dispute Resolution. If we have a dispute regarding this Agreement (other than for misappropriation of trade secrets or breaches of confidentiality obligations), neither party can file a lawsuit or other regulatory proceeding before the complaining party provides the other party a detailed notice of the dispute and our senior managers attempt to resolve the dispute. If our senior managers cannot resolve the dispute in 30 days, either party may demand mediation in which we will then try to resolve the dispute with an impartial mediator. If our dispute is not resolved within 60 days after the mediation demand, either party may begin litigation Intel Components" means a hardware component or product designed, developed, sold, or distributed by Intel. ASSIGNMENT. You may not delegate, assign or transfer this Agreement, the license(s) granted or any of Your rights or duties hereunder, expressly, by implication, by operation of law, or otherwise and any attempt to do so, without Intel’s express prior written consent, will be null and void. Intel may assign, delegate and transfer this Agreement, and its rights and obligations hereunder, in its sole discretion.
iv. Intel reasonably believes that suspension of the Cloud Services is necessary to protect Intel’s network or other Intel companies; a) “Cloud Service” means the enablement of certain functionality of the Software through the use of cloud services provided by Intel through a third party. Open Source Licenses. The Material may include software subject to an open source license, including Open Source Initiative approved licenses (http://www.opensource.org). Nothing in this Agreement limits or grants any rights under, or that supersede, the terms of any applicable open source license. OPEN SOURCE STATEMENT. The Software may include Open Source Software (OSS) licensed pursuant to OSS license agreement(s) identified in the OSS comments in the applicable source code file(s) or file header(s) provided with or otherwise associated with the Software. Neither You nor any OEM, ODM, customer, or distributor may subject any proprietary portion of the Software to any OSS license obligations including, without limitation, combining or distributing the Software with OSS in a manner that subjects Intel, the Software or any portion thereof to any OSS license obligation. Nothing in this Agreement limits any rights under, or grants rights that supersede, the terms of any applicable OSS license.
Which product do you need support for?
DISCLAIMER OF WARRANTY. The Software is provided “AS IS” without warranty of any kind, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. CONFIDENTIALITY The terms of this Agreement and the Material are Intel confidential information and subject to your valid corporate non-disclosure agreement with Intel (CNDA). Except as authorized in Section 2.1, you must not disclose this information to anyone, including the U.S. government. This Agreement will not become effective, or will automatically terminate, in the absence of a CNDA. This Agreement will take precedence in the event of a conflict with the CNDA. g) “Personal Information” means any information relating to an identified or identifiable natural person of which You are the Data Controller and in relation to which Intel is providing the Cloud Services. For purposes of this definition, an “identifiable person” is one who can be identified, directly or indirectly, by reference to an identification number or to one or more factors specific to their physical, physiological, mental, economic, cultural or social identity.
System and Maximum TDP is based on worst case scenarios. Actual TDP may be lower if not all I/Os for chipsets are used.

The Software is a commercial item (as defined in 48 C.F.R. 2.101) consisting of commercial computer software and commercial computer software documentation (as those terms are used in 48 C.F.R. 12.212), consistent with 48 C.F.R. 12.212 and 48 C.F.R 227.72021 through 227.7202-4. You will not provide the Software to the U.S. Government. Contractor or Manufacturer is Intel Corporation, 2200 Mission College Blvd., Santa Clara, CA 95054.
